Galapagos receives transparency notifications

Mechelen, Belgium; 27 October 2010 – Galapagos NV (Euronext: GLPG) announced today that it has received two transparency notifications pursuant to the Belgian transparency legislation (Belgian Act of 2 May 2007) concerning major holdings in Belgian listed companies: one from TWE Beheer BV, TWE Investment BV, Gestion Deelnemingen IV BV, and Mr. A. Strating; and one from Crucell Holland BV. 


Galapagos received a transparency notification on 21 October 2010 indicating that Mr. A. Strating and TWE Beheer BV no longer hold Galapagos shares and that TWE Investment and Gestion Deelnemingen IV BV currently hold a combined 921,255 (3.51%) Galapagos shares; this number represents a decrease from the 1,252,550 shares previously notified by these four entities, and is a separate shareholding to that of Gestion Deelnemingen V BV.  Galapagos received a transparency notification on 27 October 2010 indicating that Crucell Holland BV still holds 1,236,097 Galapagos shares, which now represents 4.70% of the current outstanding shares.


To date, Galapagos’ total share capital amounts to €142,178,761.07; the total number of securities conferring voting rights is 26,282,827, which is also the total number of voting rights (the “denominator”); all securities conferring voting rights and all voting rights are of the same category.  The total number of rights (warrants) to subscribe to not yet issued securities which confer voting rights is 2,756,168, which is also the total number of voting rights that may result from the exercise of these warrants. Galapagos does not have outstanding any in voting securities convertible bonds nor shares without voting rights.
